AVITI24™ Global Grant Program Grant Terms and Conditions

NO PURCHASE NECESSARY TO ENTER OR WIN.

HOW TO ENTER: To enter the AVITI24 Global Grant Program (“Grant”) submit a completed AVITI24 Global Grant Submission Form in English (“Submission Form”) to Element Biosciences, Inc. (“Sponsor”).

Submission Forms are restricted to research proposals that use one of the following four (4) fixed content panels: (1)the Teton™ Human MAPK & Cell Cycle Kit, (2) Teton Human MAPK & Apoptosis, (3) Teton Neuroscience Panel, or (4) Teton Immuno-Oncology Panel. Submission Forms must not contain any information that can be considered confidential, proprietary or a trade secret. Sponsor has no obligation to keep any information submitted as a part of this Contest confidential.

ELIGIBILITY: Participation is open only to life science professionals twenty-one (21) years and older who submit a completed Submission Form. One entry per person. Prize limited to one per person. The following persons are not eligible to participate in this Grant: (1) any official, officer, or employee of a company, business, university, or institution that is owned, in whole or in part, by a governmental department, agency or instrumentality; (2) immediate family members of government officials or employees as defined in subsection (1); (3) any official or employee of a publicly funded international organization such as the World Bank, United Nations, the European Union, or the World Health Organization; (4) any official or employee of a political party or any person acting in an official capacity on behalf of a political party; (5) any candidate for political office at any level and in any jurisdiction; (6) any other person prohibited by their employer, conflicts of interest, or other circumstances from participation in the contest or receipt of items of value from Sponsor; and/or (7) Sponsor’s employees, consultants, officers and directors and their immediate family members or those living in their same household as well as Sponsor’s suppliers, distributors and other sales intermediaries, and advertising, promotion, and fulfillment agencies. Void where prohibited, licensed, or restricted by federal, state, provincial, or local laws, regulations, or agency/institutional policy, including any country or territory subject to applicable embargo or sanctions. Determination of eligibility is at Sponsor’s sole discretion.

DEADLINE FOR SUBMISSION: The Grant begins on February 20, 2025 at 9:00am USA Pacific Time and ends on April 4, 2025 at 11:59PM USA Pacific Time.

SELECTION OF WINNER: Five (5) winners (each a “Winner”) will be selected from all eligible entries received by Sponsor. Entries and Submissions Forms will be judged based on the research plan, scientific interest, feasibility (including logistics), and ability to complete the proposed research plan within a one (1) year time frame, and other relevant criteria as determined solely by Sponsor and will be evaluated in Sponsor’s sole discretion.

Each Winner of the Grant will be selected and notified by email by April 18, 2025. As a condition of accepting the prize, each Winner agrees to present its research plan and results of the Service (as defined below) at a webinar or workshop arranged by Sponsor at a time to be mutually agreed upon by Sponsor and each Winner. If a Winner is (i) unreachable, (ii) does not make direct contact with Sponsor by the date specified in the notification, (iii) does not submit Samples (as defined below) within the timeframe listed below, (iv) does not agree to the conditions of accepting the prize, and/or (v) fails to accept the prize, the prize will be forfeited in its entirety and an alternate Winner will be selected from the remaining eligible entries. Each Winner must warrant that she or he is an eligible participant and is not prohibited by employment, contract, or law from entering the Grant or accepting a prize from Sponsor.

PRIZE: Each Winner will receive one (1) free sequencing research service of said Winner’s qualified samples that meet Sponsor’s ’s standard submission criteria (“Samples”) to be performed by Sponsor at its facility using Element’s AVITI24 sequencing platform for up to one (1) AVITI24 flow cell (maximum retail value approximately up to seven thousand five hundred dollars USD ($7,500.00)). Each Winner must send its Samples to Sponsor within four (4) months of said Winner’s acceptance of the prize that meet the sample criteria to be provided by Sponsor. Said sample criteria and the specifics of the sequencing research service to be performed by Sponsor (“Service”) will be determined by Sponsor in its sole discretion and subject to Sponsor’s applicable terms and conditions for research services. The Service does not include library preparation. Each Winner represents and warrants that (i) it is entitled to transfer the Sample to Sponsor for use to perform the Service, and (ii) the Samples do not and will not contain any personally identifiable information, personal health information, or Protected Health information (as said term is defined at 45 C.F.R. 160.103). Sponsor will use the Samples solely in performance of the Services and provide the applicable Winner with the results of the Service for use for research use only.

No cash or other substitutions are permitted, except by Sponsor, which reserves the right to substitute the prize with one of equal or greater value. No refunds or credits are allowed. The prize is not transferable. All taxes on the prize and reporting thereof are the sole responsibility of the Winners. By entering the Grant, each participant unconditionally accepts and agrees to comply with and abide by these rules and the decisions of Sponsor, which will be final and binding in all respects.

PUBLICITY: Sponsor may publish the name of the Winners. The Winners consent to the use by Sponsor of Winners’ name and image in Sponsor’s press releases, announcements, or other marketing literature.

INDEMNITY; DISCLAIMERS: To the full extent allowed by law, participants and each Winner release, indemnify and hold harmless Sponsor and its affiliates, directors, officers and employees from all liability for any damages, injury or losses to any person (including death and bodily injury) or property of any kind resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of the prize or participation in any promotion-related activity or participation in this promotion. Sponsor has not made any warranty, representation, or guarantee, express or implied, in fact or in law, with respect to ownership of any research plan or results or intellectual property rights pertaining thereto, or any prize, including, without limitation, to such prize’s (or any research plan or results) quality or fitness for a particular purpose. IN NO EVENT WILL SPONSOR BE LIABLE, WHETHER IN CONTRACT, TORT, WARRANTY, OR UNDER ANY STATUTE OR ON ANY OTHER BASIS FOR SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, MULTIPLE OR CONSEQUENTIAL DAMAGES SUSTAINED BY ANY WINNER OR ANY OTHER PERSON OR ENTITY ARISING OUT OF SPONSOR'S PERFORMANCE OR FAILURE TO PERFORM ITS OBLIGATIONS RELATING TO THE AWARD OF THE PRIZE OR PERFORMANCE OF SERVICES, THE POSSESSION OR USE OF ANY PRODUCT, OR THE PERFORMANCE BY SPONSOR OF ANY SERVICES, WHETHER OR NOT FORESEEABLE AND WHETHER OR NOT SPONSOR IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES ARISING FROM OR RELATED TO LOSS OF USE, LOSS OF DATA, DOWNTIME, OR FOR LOSS OF REVENUE, PROFITS, GOODWILL, OR BUSINESS OR OTHER FINANCIAL LOSS.

MISCELLANEOUS: The promotion is sponsored by Element Biosciences, Inc., 10055 Barnes Canyon Road, Suite 100, San Diego, CA, 92121, USA. To obtain the name of the Winners, send a request with a stamped, self-addressed envelope to Edwin Hauw, SVP of Marketing, Element Biosciences, Inc., 10055 Barnes Canyon Road, Suite 100, San Diego, CA, 92121, USA. If required pursuant to local law or internal rules, or requirements of any participant’s employer, participant also represents and warrants that his/her employer or institution has approved the participation in the Grant. All entries and their content become the property of Sponsor and will not be returned. This Grant will be governed by and construed in accordance with the law of the State of California without reference to its choice-of-law doctrines.
